1. Introduction

1.1. These Terms of Service (“Terms”) govern your access to and use of Bain & Lo’s website, products, and professional services (collectively, the “Services”).

1.2. By accessing or using our Services, you agree to these Terms and our Privacy Policy. If you do not agree, you may not use or access our Services.

1.3. If you are entering into this agreement on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

1.4. Bain & Lo provides business consulting, development, management, branding, and administrative support services. We are not attorneys, accountants, or licensed legal or financial advisors. Any materials, templates, or guidance provided are for educational and operational support purposes only.

2. Scope of Services

2.1. Bain & Lo offers the following types of services (collectively referred to as “Professional Services”):

• Business Formation & Compliance: Including LLC registration, EIN setup, BOI/FINCEN reporting, registered agent services, and compliance tracking.
• Branding & Creative Development: Including logo design, color palettes, typography, brand identity kits, and related deliverables.
• Website Design & Digital Setup: Including domain setup, email configuration, hosting integration, and basic website creation or redesign.
• Administrative & Executive Support: Including workflow setup, CRM management, scheduling, documentation, and business communication systems.
• Consulting & Strategy: Including business planning, systems development, funding preparation, and operational management guidance.
• E-Commerce & POS Setup: Including Shopify/WooCommerce integration, product mapping, and system connection setup.
• Marketing & Social Media: Including brand strategy, platform setup, campaign guidance, and content scheduling.

2.2. We Do Not Provide Legal or Accounting Advice.
Bain & Lo and its affiliates are not a law firm, accounting firm, or financial advisory service. We do not review client data for legal sufficiency, apply the law to specific facts, draw legal conclusions, or provide legal representation. Any materials or recommendations provided are for informational and business support purposes only.

2.3. If you require legal, financial, or tax advice, you should consult a qualified professional licensed in your jurisdiction.

3. Client Ownership and Deliverables

3.1. Upon full payment for any service, the client owns all final deliverables created specifically for their business by Bain & Lo. This includes logos, brand kits, website files, and customized materials, excluding any third-party assets used under license (e.g., fonts, stock imagery, templates).

3.2. Bain & Lo retains ownership of its proprietary frameworks, templates, and intellectual property used to develop the client’s materials. Clients receive a perpetual, royalty-free license to use final deliverables for business or personal use.

3.3. Draft files, internal design systems, or process documents not explicitly delivered as final client materials remain the intellectual property of Bain & Lo.

3.4. Clients are responsible for downloading, storing, and backing up their deliverables upon completion. Bain & Lo is not liable for the long-term storage or recovery of project files after final delivery.

4. Payment, Fees, and Refunds

4.1. All prices are quoted in U.S. Dollars unless otherwise stated. Payment is required in full before work begins unless otherwise specified in writing.

4.2. Service fees may include one-time payments, retainer-based billing, or monthly subscriptions. Each client’s payment terms will be clearly stated in their invoice or proposal.

4.3. Refunds:
All payments are non-refundable once work has begun or deliverables have been provided, except in cases where Bain & Lo fails to deliver agreed-upon services. In such cases, partial refunds may be issued at the company’s discretion.

4.4. Chargebacks:
If a payment dispute or chargeback is filed without prior contact with Bain & Lo, we reserve the right to suspend ongoing services, revoke access to deliverables, and pursue collection for unpaid balances.

4.5. Clients are responsible for all transaction fees, taxes, or third-party costs associated with their service.

5. Cancellations and Termination

5.1. Either party may terminate services with written notice. Fees for work completed or time invested up to the termination date are non-refundable and remain payable.

5.2. Bain & Lo reserves the right to suspend or terminate services immediately if:

• The client violates these Terms.
• The client engages in abusive or fraudulent behavior.
• The client fails to pay agreed-upon fees.

5.3. Termination does not release the client from payment obligations for completed work or costs incurred before cancellation.

6. Confidentiality

6.1. Bain & Lo respects client privacy. All client information, documents, and communications are treated as confidential and used solely for the purpose of providing contracted services.

6.2. We will not disclose your information to third parties except:

• With your written consent,
• As required by law, or
• When necessary to deliver contracted services through verified third-party providers (e.g., hosting, design, or compliance partners).

7. Third-Party Services

7.1. Some Bain & Lo services rely on third-party providers (e.g., domain registrars, design platforms, AI tools, or e-commerce systems).

7.2. By using these Services, you acknowledge and agree that:

• Third-party terms and policies may apply,
• Bain & Lo is not responsible for downtime, pricing, or errors caused by third-party systems, and
• You are solely responsible for compliance with any additional third-party terms that apply to your usage.

8. Intellectual Property & Trademarks

8.1. Bain & Lo respects intellectual property rights and expects clients to do the same. Clients are responsible for ensuring that any names, logos, or content they request do not infringe upon existing trademarks or copyrights.

8.2. Bain & Lo does not conduct trademark searches or guarantee legal availability of brand names or designs. Clients are encouraged to seek legal review before filing or commercial use.

9. Chargebacks and Disputes

9.1. If you have a question about a charge or need clarification regarding payment, contact support@bainlo.combefore initiating a chargeback.

9.2. Filing a chargeback without valid justification may result in immediate termination of services and loss of access to deliverables.

9.3. Bain & Lo reserves the right to dispute any chargeback with the payment processor and to provide all records, signed agreements, and communication logs as proof of service delivery.

10. Limitation of Liability

10.1. To the fullest extent permitted by law, Bain & Lo is not liable for indirect, incidental, or consequential damages arising from the use of its services, materials, or advice.

10.2. Our total liability for any claim shall not exceed the amount paid by the client for the specific service giving rise to the claim.

10.3. All Services are provided “as is” and “as available,” without warranties of any kind, express or implied.

11. Disclaimer

11.1. Bain & Lo is not a law firm, accounting firm, or financial institution and does not provide legal, tax, or accounting advice. Any information provided by Bain & Lo or its representatives should not be interpreted as such.

11.2. Clients are solely responsible for obtaining professional legal or financial counsel where required.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles.

13. Updates to Terms

Bain & Lo may modify these Terms at any time. Updated versions will be posted at https://bainlo.com/terms with a revised effective date. Continued use of our Services constitutes acceptance of the updated Terms.
